These Terms of Service ("Terms") govern your use of the MintSeat platform operated by Solmare Group LLC ("MintSeat," "we," "us," or "our") at mintseat.co. By accessing or using the Platform you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Platform.
MintSeat is a peer-to-peer marketplace that connects buyers and sellers of event tickets. We provide the technology infrastructure that facilitates transactions between users. MintSeat is not a ticket broker, venue, promoter, or event organizer. We do not set ticket prices, guarantee ticket availability, or take responsibility for events being held as scheduled.
You must be at least 18 years old to use the Platform. By creating an account you represent that you are 18 or older and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms.
You must create an account to access most Platform features. You agree to provide accurate and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@mintseat.co if you suspect unauthorized access to your account.
By listing a ticket on MintSeat you represent and warrant that:
MintSeat charges a platform fee on each completed sale. The current fee structure is displayed at mintseat.co and may be updated with notice. Fees are deducted automatically from sale proceeds before payout.
Seller payouts are processed through Stripe and subject to Stripe's payout schedule. Payouts are initiated automatically upon confirmed delivery. MintSeat is not responsible for delays caused by Stripe or your bank.
By forwarding a ticket confirmation email to list@tickets.mintseat.co, you agree to the following terms in addition to all other provisions of these Terms of Service.
You confirm that you own the tickets described in the forwarded email and have the legal right to list them for resale or tokenization on the Platform. MintSeat is not responsible for listings created from tickets you do not own or are not authorized to resell.
You consent to MintSeat extracting ticket details from your forwarded email using an AI system (Claude by Anthropic) for the purpose of creating draft marketplace listings. You understand that AI extraction may occasionally produce inaccurate results and that you are responsible for reviewing all extracted details before confirming any listing.
You are responsible for verifying all extracted ticket details — including game dates, seat locations, and prices — before publishing any listing. MintSeat makes reasonable efforts to extract information accurately but does not guarantee the accuracy of AI-extracted data. Inaccurate listings are your responsibility.
You confirm that the tickets you list via email submission are valid, have not been previously transferred, voided, or cancelled, and that the digital tickets or barcodes remain under your control until a sale is completed.
MintSeat is a marketplace platform. We do not guarantee that your tickets will sell, that buyers will be found, or that any specific price will be achieved.
A 2% platform fee applies to all completed ticket sales originating from email submissions. This fee is deducted automatically from sale proceeds before payment is routed to you.
You may not submit emails containing tickets that are fraudulent, counterfeit, already sold, revoked, or subject to transfer restrictions that prohibit resale. MintSeat reserves the right to remove any listing at its discretion and to suspend accounts that submit prohibited content.
When you purchase a ticket on MintSeat, your payment is processed immediately through Stripe. Funds are held by Stripe until delivery is confirmed, at which point they are released to the seller. MintSeat charges a buyer fee on each transaction, shown at checkout before you complete your purchase.
You are responsible for confirming receipt of your ticket within the timeframe specified at checkout. If you do not confirm and do not dispute within the specified window, delivery may be deemed complete.
If a seller fails to deliver a valid ticket, you are entitled to a full refund. Refund requests must be submitted through the Platform within 24 hours of the event start time. Refunds are processed through Stripe and may take 5-10 business days to appear.

Violation of these prohibitions may result in immediate account suspension, transaction cancellation, and forfeiture of funds held on Platform.

MintSeat reserves the right to modify fees with 30 days advance notice to registered users.
MintSeat facilitates optional royalty routing to registered artists and rights holders on ticket resales. Royalty percentages are set by sellers at the time of listing. MintSeat is not responsible for verifying the identity of rights holders or the legitimacy of royalty claims. Sellers who designate royalty recipients represent that they have a good-faith basis for doing so.
MintScore is a platform trust rating based on verified transaction history. MintScore is for informational purposes only and does not constitute a guarantee of seller or buyer performance. MintSeat reserves the right to adjust MintScore calculations at any time.
The MintSeat name, logo, Platform design, and original content are owned by Solmare Group LLC and protected by applicable intellectual property laws. You may not use our intellectual property without prior written permission.
You retain ownership of content you submit to the Platform. By submitting content you grant MintSeat a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Platform.
The Platform integrates with third-party services including Stripe (payments), Cloudflare (infrastructure), and the XRP Ledger (blockchain). Your use of these services is subject to their respective terms and policies. MintSeat is not responsible for the availability, performance, or actions of third-party services.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MINTSEAT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
MINTSEAT DOES NOT GUARANTEE THAT TICKETS LISTED ON THE PLATFORM ARE AUTHENTIC, VALID, OR WILL BE HONORED BY THE VENUE. BUYERS ASSUME RISK OF PURCHASING TICKETS FROM THIRD-PARTY SELLERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTSEAT AND SOLMARE GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MINTSEAT IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
You agree to indemnify and hold harmless Solmare Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by the laws of the State of Illinois without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in Cook County, Illinois, except that either party may seek injunctive relief in any court of competent jurisdiction.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
MintSeat reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will survive, including Sections 10, 12, 13, 14, and 15.
We may update these Terms from time to time. We will notify registered users of material changes by email and by posting updated Terms on this page. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
